This position offers a unique opportunity to work in a dynamic, fast-paced environment where you will build out, maintain, and advise on our governance policies and practices through a legislative and compliance lens.

As the Board Secretary (Director of Legal/Governance), you will oversee and offer legal recommendations to our Board of Trustees and leadership team in areas including, but not limited to, the management of external counsel, contracts, litigation, privacy, and human resources and procurement services. You will utilize your understanding of legislative regulation, compliance, and industry best practice to contribute to the organization and Boards strategy and risk initiatives.

Position Requirements:
• 7+ years of experience as a Board Secretary for Boards of Trustees or Board of Directors, or a Legal background with a focus on Board and organizational governance, compliance, and strategy.
• Post-secondary education in law and public administration.
• Qualified to practice law in Ontario.
• Experience acting as an advisor and making recommendations around compliancy, legislative regulations, and best practice for policies, processes, and operational and strategic objectives.
• Effective written and verbal communication skills with the political acuity to observe and understand best approaches to sensitive topics.
• Strong organizational skills and ability to develop, advise, and adhere to policies and processes.
• Calm under pressure.
• Advanced computer skills in MS Word, Outlook, Teams and Zoom; intermediate skills in Excel and PowerPoint.
• Consistently meets deadlines and demonstrates appropriate urgency.
• Able to work independently and be a self-starter.
• 5+ years of experience managing a team.
• Pension industry experience is preferred.
• Training in Governance topics is preferred.
• GPC.D or other related designation is preferred.
• Experience working with online Board portals, Passageways OnBoard is preferred.

Employment Type: This is a remote position in Ontario which will require you to attend in-person meetings as needed.
